Welcome to AppRebates, a service of AppRebates LLC (hereinafter referred to as "AppRebates”). You must read and agree to these terms and conditions before you may access, use or view our Site. Please read them carefully. By visiting the AppRebates Site, you are agreeing to these terms. This Agreement is subject to change at any time, and changes are effective upon posting. Your continued use of the Site following the posting of changes will mean that you accept and agree to the non-exclusive, non-transferable, limited privilege to enter and use AppRebates’s Site.

AppRebates allows registered users to download paid applications for free by writing a relevant review of that application and posting it to the Apple Store. You will be reimbursed the cost of the downloaded application if you complete and post your review in the time required. If you do not follow the time schedule, you may not be reimbursed your cost of the application. AppRebates is not responsible for the performance of any application that is sponsored on this site. The application’s owner is responsible.

AppRebates is not an affiliate or related to Apple, Inc. in any manner. iPhone and Apple are trademarked and licensed products of Apple, Inc. AppRebates is not an affiliate or related to any sponsored application that is available in AppRebates service.

1. Eligibility:

You must be eighteen years of age or over to register as a member of, or use, this site. Membership in this service is void where prohibited by law. By using and/or viewing this site, you represent and warrant that you have the right, authority, and capacity to enter into this agreement and to abide by all of the terms and conditions of this agreement and that you are at least 18-years old (21-years old where 18 is not the age of majority).

You represent and warrant that you have not, nor will not, use and/or view the Site in a restricted location - namely a place, country, or location in which doing so would, or could be deemed a violation of any law, regulation, rule, ordinance, edict or custom. Each registered user is entitled to a single active user account. AppRebates reserves the right to disable accounts exceeding this one per user limit.

You agreed that AppRebates can send you messages by email, SMS or other methods of communications to you. There is no charge to you for these messages and you can opt out of the messages within your account information.

2. Termination:

AppRebates reserves the right to terminate your access to the site for any reason or no reason. AppRebates may terminate your membership upon sending notice to you at the email address you provide in your application for membership or such other email address, phone number, SMS or other mechanisms as you may later provide to us. If AppRebates terminates your membership in the AppRebates service because you have breached this Agreement, you will not be entitled to any payment of any unremitted earnings. Even after this Agreement is terminated, certain provisions will remain in effect including sections 1, 3, 7, 8, 9, inclusive, of this Agreement.

You, the user, may cancel this agreement, without any penalty or obligation, at any time. To cancel this agreement send an email (originating from the same email address used at signup) this states that you, the user, are canceling this agreement, or words of similar effect. This notice shall be sent to: support@apprebates.com. All earned, but unremitted earnings will be pay to you within five (5) business days upon receipt of your cancellation email.

3. Non-Commercial Use by Members/Viewers:

This AppRebates site is for the personal use of individual members and viewers only and may not be used in connection with any commercial endeavors. Organizations, companies, and/or businesses may not become members of this site and shall not use the AppRebates service or site for any purpose including but not limited to: sending unsolicited commercial e-mail to members, sending advertisements for other web sites and services, or using member personal identifying information for commercial purposes. Illegal and/or unauthorized uses of the site, including unauthorized framing of or linking to the site or the sending of unsolicited commercial email will be investigated, and appropriate legal action will be taken, including without limitation, civil, criminal, and injunctive redress and/or termination of membership at AppRebates's sole discretion.

4. Proprietary Rights of Content on AppRebates:

AppRebates owns and retains other proprietary rights in the Apps Rebate site and the AppRebates service. The site contains the copyrighted material, trademarks, and other proprietary information of AppRebates and its licensors. Except for that information which is in the public domain or for which you have been given permission, you may not copy, modify, publish, transmit, distribute, perform, display, or sell any such proprietary information.

5. Commercial Communications Emanating from AppRebates

AppRebates reserves the right to send third party advertisements and message tags within its regular communications with its users. This communications can be in the form of an SMS, and/or email message. The user should understand that by registering and using this site, they hereby consent to receive such advertisements in connection AppRebates communications. AppRebates is not responsible for the content in these advertisements. Each user has the right to opt-out of this kind of communications.

6. Privacy:

Use of the AppRebates site and/or its service is governed by our Privacy Policy, which may change from time to time upon electronic notice to you.

7. Disclaimers:

AppRebates including its officers, directors, agents, subsidiaries and employees is not responsible for any incorrect or inaccurate content posted on the site or in connection with the AppRebates service, whether caused by users, members or by any of the equipment or programming associated with or utilized in the service, nor for the conduct of any user and/or member of the AppRebates service whether online or offline. AppRebates assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, user and/or member communications. AppRebates is not responsible for any problems or technical malfunction of any telephone network or lines, computer on-line-systems, servers or providers, computer equipment, software, failure of email or players on account of technical problems or traffic congestion on the Internet or at any website or combination thereof, including injury or damage to users and/or members or to any other person's computer related to or resulting from participating or downloading materials in connection with the AppRebates site and/or in connection with the AppRebates service. Under no circumstances will AppRebates be responsible for any loss or damage resulting from anyone's use of the site or the service and/or any content posted on the Apple’s site. The site and the service are provided "AS-IS" and AppRebates expressly disclaims any warranty of fitness for a particular purpose or non-infringement. AppRebates cannot guarantee and does not promise any specific results from use of the site and/or the AppRebates service.

8. Limitation on Liability:

Except in jurisdictions where such provisions are restricted (and in that event liability is disclaimed to the fullest extent permitted by law), in no event will AppRebates LLC be liable to you or any third person for any indirect, consequential, exemplary, incidental, special or punitive damages, including also lost profits arising from your use of the site or the AppRebates service, even if AppRebates has been advised of the possibility of such damages. You further agree to hold AppRebates, including its officers, directors, agents, subsidiaries and employees harmless for claims arising in the event that other Application you are reviewing ultimately proves to be offensive, harmful, inaccurate and/or deceptive. Notwithstanding anything to the contrary contained herein, AppRebates's liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, to you from the AppRebates for the service during the term of membership.

9. Arbitration of Disputes:

Any and all disputes arising out of or related to these Terms of Use and/or your relationship with AppRebates and/or your use of this site shall be submitted to binding arbitration according to the rules of the American Arbitration Association. The parties to the arbitration shall evenly divide any and all costs of the arbitration. Neither party shall be entitled to attorney fees. All parties submit to exclusive jurisdiction of the court system of the State of Washington, USA.

10. Indemnity:

You agree to indemnify and hold AppRebates, its subsidiaries, affiliates, officers, agents, and other partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorney's fees, made by any third party due to or arising out of your use of the service in violation of this Agreement and/or arising from a breach of these Terms of Use and/or any breach of your representations and warranties set forth above.
